You're fine. Just get a nice Mid Tower case to put it in and you will be fine. You don't really need a Video Card cooler as long as you have good air flow through the case. Just get some additonal case fans if needed. I have the Cooler Master 912 HAF case and have 4 fans in there, three 120mm exhaust and one 200mm intake. I have a GTX 560Ti installed and it stays plenty cool.

That is a big cooler, and it is hard to say. The card will be in the upper most PCIe slot and in all likelyhood the PSU will be bottom mounted. It could interfere with the CPU cooler. My card is at 36C at the moment and I have never seen more than 53C in some pretty demanding games and I am air cooled. Even if you get as high as 63C on the GPU, you are still in good shape. Also, please do not continue to starrt new threads on the same subject. Yiou have started three on Virtually the same thing.

wouldnt the cooler be going towards the bottom not the cpu cooler because it you look at the motherboard it is set up that the top pci express 16 will have the card facing down because it is put in upside down

Yep. I hadn't seen that cooler at the time. It is just a replacement fan and heatsink for the stock one, so would be mounted on the card as you described. As I said, I don't see any reason to do that though as the stock stuff is pretty darned good.
