Advice For Upgrading Cpu, Motherboard & Memory

I in the hunt for a new CPU, MB and memory.
Currently I have:
Windows 7 64bit
CPU - Intel Core 2 Duo E8400 (socket 775 LGA)
Motherboard - Asus P5N-E SLI
GPU - Radeon HD 5850
Memory - 3gig's DDR2
I am looking to upgrade my CPU (don't think my current MB will work with any of the new generation CPU's like the i7 for example), MB and memory (don't see any reason at this point to upgrade my GPU).
I will have @ $600.00 to work with and was hoping to get some advice on a new motherboard, CPU and memory.
The motheboard doesn't have to be anything fancy...
Was really hoping i could upgrade my CPU to a i7 at the very least
Not sure what my best option is for current generation memory and/or how much i should get.
I mainly use my PC for online gaming (MMO'S)
any advice would be great!
Thanks all

Some of those ASRock boards are rather pricey and the over all quallity of those things is good these days. They were a spinoff of ASUS to supply MOBOs to the mass builders, but are now also aiming at the enthusiast and put out a pretty decent board. DEpending on the board, they wil take OCing pretty good. Of course the pricier ones are better.

I don't mess with over clocking to be honest....always have been worried i would burn out something if i tried to overclock so just never messed with it.

Do i need to be worried about heating issue's with this CPU? (never really botherd to overclock any CPU i have owned, but most of the reviews say its super easy and very stable). I run a aftermarket heatsink with my current CPU that i bought a few years ago which seems to work fine (its super big though lol). The main reason i run the heatsink is because of were my CPU sits in my computer desk. It sits in a open compartment thats closed on two sides and open on two sides so its not the best airflow if you ask me. I do have 3 fans inside the case.
Will i be ok just using the same aftermarket heatsink i already own, or should i opt for a new one that might work better with the CPU you recommended??
Is there some program that i can use to monitor my temps once get the new board, cpu and memory installed? Just so i can keep an eye on it?
Do either of you have a Asus or Gigabyte board you could recommend just so i have something to compare the ASrock board to? I have used both Asus & Gigabyte in the past and both seem to be rock solid.
Thanks again for all the advice!

Use hwmonitor to measure temps.
I have a 1156 gigabyte board, so that's not really applicable. Look in coastie's sig; he has a 1155 asus board.
