I'm addressing the above 2 points. In Vista, you can avoid having to deal with this problem in the 1st place by simply "Optimizing (usb drives) for Quick Removal".
In Windows Explorer, rt click on any drive; select Properties; select Hardware; hilight the Drive in question from amongst the drives listed; select Properties; select Policies; select "Optimize for Quick Removal"; click ok.
The safe removal icon will continue to appear on the system tray in the lower rt hand corner of your screen, but henceforth pulling out a usb drive will no longer elicit the warning message that ordinarily would ensue. Note that this disables "write-caching" on NTFS drives, but I haven't noticed any performance issues.

However, the freeware Unlocker (http://ccollomb.free.fr/unlocker) also does a great job of identifying clingy processes and stopping them to release a USB drive.

drive, and a point you failed to mention could be as
simple as looking under Disk Management, and see what
drive letter your USB device is trying to use. I use a
laptop for work so I have corporate drives, that still
take up a drive letter.
Sometimes the USB Stick will launch as a Drive letter
that is already taken.
All you have to do is go to Right Click on My computer
go to Manage and then Disk Management.
You will see the Device there and can change the drive
letter.
