Win XP SVC Pack 3 - Access Denied ERROR MSG

I just rec'd auto. update for KB936929 and I keep getting "access denied" and "setup errors". It runs Software Update Removal wizard auto. but then states "WIN XP has been partially updated and may not work properly".

I am shutting down all apps before running the update. (Full bckp was done and system restore point created before running!)

I checked some tech. notes that stated I may need to uninstall some Windows Updates but I checked and didn't see any issues there. I saw someone had posted a file to RUN that would change some things in the registry but was leary to do this because I didn't know the source of this info.

Are there any easy solutions to get this Win XP SVC Pack 3 update done?
